Terms & Conditions

These Terms are a contract between you and Contractor Stack LLC ("Contractor Stack", "we", "us"), the legal entity that owns and provides TradeFlow AI (the "service"). They apply when you create an account, request a demo, or use the service. By using TradeFlow AI you accept them. If you are accepting on behalf of a company, you confirm you may bind that company.

If you do not agree, do not use the service. Our Privacy Policy and our opt-out options are part of these Terms.

TradeFlow AI is a software product owned and provided by Contractor Stack LLC for HVAC, plumbing and electrical contractors. It stores customer and estimate records, suggests follow-up wording, tracks review requests, and prepares text messages for sending.

Features depend on what is configured for your account. Text messages are only delivered once your account has a paid subscription, an approved messaging provider and number, and the recipient has consented. Until then, messages are prepared and logged but not sent. We do not guarantee that any third-party integration, phone number, or carrier approval is available to you.

• Keep your login credentials confidential and tell us promptly about unauthorized use.
• You are responsible for activity under your account, including actions taken by your team members.
• Each company's data is separated from other companies' data and access is limited by role.
• Do not attempt to access another company's data or to defeat access controls.

Plans and prices are shown on our Pricing page:

• Essential: $299 per month, plus a one-time $199 setup fee.
• Growth: $599 per month, plus a one-time $399 setup fee.
• Premium: $999 per month, plus a one-time $699 setup fee.

The setup fee is charged once, with your first payment. Fees are billed monthly in advance and are due whether or not you use the service. Taxes may be added where required.

Changing plans: upgrades and downgrades take effect immediately and are prorated by the payment processor. No additional setup fee is charged when you change plans.

Cancelling: cancellation takes effect at the end of the period you have already paid for. Your service continues until that date, then stops. Payments already made are not refunded, except where the law requires it.

Failed payments: if a payment fails, we may suspend your account until it is resolved. Access to paid features, including text messaging, is enabled only after the payment processor confirms a successful payment.

You agree not to use TradeFlow AI to send:

• Messages to anyone who has not consented to receive them.
• Messages to anyone who has opted out, or whose number we have blocked.
• Unsolicited marketing, spam, political, adult, gambling, or illegal content.
• Messages that misrepresent your identity, your business, or the nature of the message.

Text messaging is subject to carrier rules (A2P 10DLC registration, message volumes, and content restrictions). We may limit or stop messages that put our standing with carriers or providers at risk. Reply STOP to opt out, START to resume, and HELP for help; message and data rates may apply.

You are responsible for:

• Obtaining clear consent from your customers before any text is sent to them, and recording it.
• Entering accurate consent, opt-out and contact information into the service.
• Honoring opt-out requests promptly. The service blocks messages to opted-out contacts, but you must also stop sending manually.
• Handling customer questions about your messages, and telling us about any complaint.

If a carrier, provider or regulator finds your messages non-compliant, we may pause your messaging until it is fixed.

You keep your rights in the customer, estimate and message content you place in the service. You give us permission to store, process and transmit it only as needed to provide the service to you, including generating suggested message wording when you ask for it.

Contractor Stack LLC keeps all rights in TradeFlow AI, including the software, the TradeFlow AI name and branding, and in improvements, analytics and aggregate statistics we create that do not identify you or your customers.

TradeFlow AI works with third parties such as Stripe for payments, ServiceTitan or Housecall Pro for text messaging, an email delivery provider, and an AI model provider. Their own terms and privacy policies apply to their parts of the service. We are not responsible for their outages, price changes, or decisions, including a carrier or provider refusing a message or a number.

The service is provided "as is" and "as available". To the fullest extent allowed by law, we do not give any warranty, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the service will be uninterrupted, error-free, or that any message will be delivered.

We are not liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, lost customers, lost data, or business interruption. Our total liability for anything arising out of these Terms is limited to the amount you paid us in the three months before the event that caused the loss. These limits apply even if we were told a loss was possible, and do not apply where the law does not allow them.

You will defend and cover us against claims, damages and reasonable legal costs arising from your use of the service in breach of these Terms, from messages you send or ask the service to send, or from your failure to obtain or honor customer consent.

You may stop using the service and cancel at any time under section 4. We may suspend or end your account if you breach these Terms, if payment fails, if your messaging is reported as abusive, or if we must do so to comply with law or carrier requirements. We may also end the service overall with reasonable notice.

On ending, you may ask for an export of your data within 30 days; after that we delete or anonymize it, except records we must keep — including opt-out records, which are retained so opted-out numbers stay blocked.

We may update these Terms. We'll change the effective date above and, for material changes, notify you by email or in the app before they take effect. Continuing to use the service after the effective date means you accept the updated Terms.

• These Terms are the whole agreement about the service and replace earlier versions.
• If a court finds part of them unenforceable, the rest still applies.
• Neither side may assign the agreement without the other's consent, except in a business sale.
• These Terms are governed by the laws of the State of California, USA, and disputes are heard there.
• Notices to you go to the email on your account. Notices to us go to Contractor Stack LLC at the email below.
• "TradeFlow AI" is a product name of Contractor Stack LLC, not a separate legal entity.
